Agreement to Terms

By accessing and using WMSPro, you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to abide by the above, please do not use this service.

Description of Service

WMSPro is a cloud-based warehouse management system that provides inventory management, order fulfillment, shipping, receiving, and related warehouse operations services. We reserve the right to modify, suspend, or discontinue any part of the service at any time with or without notice.

Account Registration and Security

To use WMSPro, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security of your account credentials
Accept all responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

Acceptable Use

You agree not to use WMSPro to:

Violate any applicable laws or regulations
Infringe upon the rights of others
Transmit any harmful code, viruses, or malware
Attempt to gain unauthorized access to our systems or other users' accounts
Interfere with or disrupt the service or servers
Use the service for any illegal or fraudulent activities
Reverse engineer, decompile, or disassemble any part of the platform

Subscription and Fees

Access to WMSPro requires a paid subscription. You agree to pay all applicable fees for your chosen subscription plan. Fees are subject to change with reasonable notice. Failure to pay may result in suspension or termination of your account. Refunds, if any, will be provided at our sole discretion.

Data Ownership and Usage

You retain all rights to the data you input into WMSPro. By using our service, you grant us a limited license to use, store, and process your data solely for the purpose of providing the service. We will not sell your data to third parties. Upon termination of your account, you may request an export of your data, subject to our data retention policies.

Service Level and Availability

While we strive to provide continuous availability of our service, we do not guarantee that the service will be uninterrupted or error-free. We reserve the right to suspend the service for maintenance, updates, or other operational needs. We are not liable for any damages resulting from service interruptions.

Integrations and Third-Party Services

WMSPro may integrate with third-party services (shipping carriers, payment processors, etc.). Your use of these integrations is subject to the terms and conditions of those third-party services. We are not responsible for the availability, accuracy, or performance of third-party services.

The WMSPro platform, including all software, designs, text, graphics, and other content, is owned by us or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.

Limitation of Liability

To the maximum extent permitted by law, WMSPro and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from:

Your use or inability to use the service
Any unauthorized access to or use of our servers and/or any personal information stored therein
Any interruption or cessation of transmission to or from the service
Any bugs, viruses, or other harmful code that may be transmitted through the service
Any errors or omissions in any content or for any loss or damage incurred from use of content

Indemnification

You agree to indemnify, defend, and hold harmless WMSPro and its affiliates from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the service, your violation of these Terms, or your violation of any third-party rights.

Termination

We may terminate or suspend your account and access to the service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the service will immediately cease. You may cancel your account at any time by contacting us.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WMSPro operates, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the service shall be resolved in the courts of that jurisdiction.

Your continued use of the service after any such changes constitutes your acceptance of the new Terms.
